TheJazzLine.com website and associated services (“The Jazz Line”) is operated and published by Mersion Media, LLC. (“Publisher”). By accessing The Jazz Line, you are agreeing to be bound by these Terms of Use. If you do not wish to be bound by these terms you may not access or use The Jazz Line.

Usage: You may use this service solely for personal, non-commercial purposes and subject to these Terms of Use, all applicable laws, rules, regulations, and agreements or terms to which you may be subject by any third party. The Jazz Line may provide you with an opportunity to share and upload content, submit to public forums, article comments, contests, sweepstakes, programs or other aspects of The Jazz Line where you are invited to do so (collectively, any submission by you to The Jazz Line is referred to as “Contribution”). You hereby grant the Publisher a perpetual license to use, redact, republish, copy, sell, pass, perform, and distribute your Contribution, including any intellectual property contained therein, and in any medium now known or hereafter developed without payment or compensation to you and without seeking any further approval from you.

Acceptable Use: The Publisher expects all users to be respectful of others. If you notice any violation of this Acceptable use policy or other unacceptable user behavior by any users, please Contact Us. You are solely responsible for the Contributions that you post on The Jazz Line or transmit to other users and agree that you will not hold the Publisher responsible or liable for any Contributions from other users that you access on The Jazz Line.

Examples of Contributions that we consider unacceptable are listed below. This list is comprised of examples, and is not intended to be exhaustive. The Publisher will make the sole determination as to whether or not Contributions are acceptable for the service. Without limitation, you agree that you will not post to The Jazz Line or transmit to other users any Contribution that:

  • Is considered defamatory, libelous, abusive, obscene, profane or offensive.
  • Infringes upon another party’s intellectual property rights (including but not limited to music, video, photos, or other materials to which you do not have written authority from the owner to post on The Jazz Line).
  • Violates any party’s right of publicity, right to confidentially, or right to privacy.
  • Is threatening, harassing, vulgar, crude, sexist, racist, homophobic or otherwise offensive to any group or individual.
  • Is inaccurate, false or misleading in any way.
  • Is illegal, or promotes illegal activities.
  • Contains the personal information of any other party, such as phone numbers, addresses, etc.
  • Contains or links to software viruses or any other computer code (whether designed with intent or otherwise) with the potential to cause interruption, disruption, destruction, or otherwise limit the functionality of any computer hardware, software, or communication equipment.
  • Contains any advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation.

The Publisher is under no obligation to screen or monitor user Contributions, but may review Contributions occasionally at its sole discretion. The Publisher will make all determinations as to what Contributions are appropriate in its sole discretion. We may include, edit or otherwise remove any Contributions at any time without notice. You understand that when using The Jazz Line, you will be exposed to Contributions from a variety of sources, and that the Publisher is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Contributions. You further understand and acknowledge that you may be exposed to Contributions that are inaccurate, offensive, indecent, or objectionable. If you do so object, you should not use The Jazz Line. You may not use spiders, robots, data mining techniques or technologies or other automated devices or programs to catalog, download or otherwise reproduce, store or distribute content published on The Jazz Line, or the Contributions available on The Jazz Line. Further, you may not use any such automated means to manipulate The Jazz Line or attempt to exceed the limited authorization and access granted to you under these Terms of Use. You may not resell use of, or access to, The Jazz Line to any third party.

Privacy: The privacy of users is very important to us – As a result we have created a Privacy Policy to detail how we collect and use information.

Links: The Jazz Line may contain links to other web sites not maintained by us. These links may include content that can provide you with further information, further resources, or further links. We encourage you to be aware of when you leave The Jazz Line and to read the terms and conditions and privacy statements of each and every web site that you visit. We are not responsible for the practices or the content of such other web sites or services. Despite any links that might exist on The Jazz Line, we do not endorse and are not affiliated with such third parties.

Our Proprietary Rights: The Publisher or its licensors are the exclusive owners of all software, graphics, designs, editorials, and all copyrights, trademarks and other intellectual property or proprietary rights contained on or used in connection with The Jazz Line. Except as set forth herein, you agree not to copy, distribute, modify or make derivative works of any materials without the prior written consent of the owner of such materials. The Publisher reserves all rights not granted under these Terms of Use.

No Warranties: The Jazz Line, including all content or Contributions made available or accessed through The Jazz Line is provided ‘AS IS’. The Publisher makes no representations or warranties of any kind whatsoever for the content on The Jazz Line. Further, to the fullest extent permissible by law, we disclaim any express or implied warranties, including without limitation, non-infringement, title, merchant ability, or fitness for a particular purpose. We do not warrant that materials contained within The Jazz Line will be uninterrupted or error free, or that defects or listed errata will be corrected. In no event shall the Publisher be held liable under any theory of tort, contract, liability, or other legal theory for any direct or indirect, special, incidental, or other consequential damages, lost profits, lost data, lost opportunities, costs, exemplary or punitive damages, personal injury or wrongful death. You agree to defend, indemnify and hold harmless the Publisher, its officers, directors, employees, business partners and agents, from and against any and all claims, including but not limited to damages, obligations, losses, liabilities, costs or debt, attorney fees, and expenses arising from any breach by you of any of these Terms of Use, your Contributions, your use of materials or features available on The Jazz Line, or a violation by you of applicable law or any agreement or terms with a third party to which you are subject.

Indemnity; Governing Law: The laws of the State of Florida shall govern these Terms of Use. You herby expressly consent to exclusive jurisdiction and venue in the courts located in Pinellas County, Florida for all matters arising in connection with these terms of use or your access of or to The Jazz Line.

Digital Millennium Copyright Act (DMCA) Notice: Materials may be made available via The Jazz Line by third parties not within our control. We are under no obligation to, and do not, scan content used in connection with The Jazz Line for the inclusion of illegal or impermissible content. However, we respect the copyright interests of others. It is our policy not to permit materials known by us to infringe another party’s copyright to remain on The Jazz Line. It is also our policy to terminate relationships regarding content with third parties who repeatedly infringe the copyrights of others.

If you believe any materials on The Jazz Line infringe upon your rights as a copyright holder, you should provide us with written notice using the information contained on the Mersion Media DMCA Page. All DMCA notices should be sent directly to us (The Publisher). DMCA notices sent toThe Jazz Line and not to us (The Publisher) cannot be serviced, and will not be deemed as valid submission of notice.

Waiver; Remedies; Severability: If any part of these Terms of Use shall be held or declared to be invalid or unenforceable for any reason by any court of competent jurisdiction, such provision shall be ineffective exclusively within the given judgment but shall not affect any other part of these Terms of Use. The failure by us to partially or fully exercise any rights or the waiver of any breach of these Terms of Use by you, shall not prevent a subsequent exercise of such right by us or be deemed a waiver by us of any subsequent breach by you of the same or any other term of these Terms of Use. Our rights and remedies under these Terms of Use shall be cumulative, and the exercise of any such right or remedy shall not limit our right to exercise any other right or remedy.
